1. Agreement Overview
Welcome to C3 Studios! By engaging our video editing services, you agree to the following Terms and Conditions. These terms apply to all clients and govern your relationship with C3 Studios regarding services provided, payment terms, intellectual property, confidentiality, and more.
2. Services Provided
C3 Studios offers video editing services tailored to your specific requirements. This includes but is not limited to corporate video editing, commercial projects, testimonials, brand stories, and more.
3. Client Responsibilities
Timely Communication:
You agree to provide all necessary materials, such as footage, assets, scripts, and other resources, in a timely manner.
Feedback:
You will provide clear and constructive feedback to facilitate efficient project completion.
Authorization:
By providing footage or other assets, you confirm you own the rights to the materials or have received proper authorization to use them.
Project Assets:
To keep things running smoothy, please make sure all project assets are submitted through the form provided. That is where we collect everything we need to get started. If anything was missed, you can also drop it in your dedicated Slack channel. Please avoid sending assets via email, as they can easily get lost in a busy inbox. Sharing assets in the right place helps us respond faster and deliver your edits on time.
**PROJECTS WILL NOT BE SCHEDULED UNTIL ALL ASSETS & NECESSARY INFORMATION IS RECEIVED. Turn around times do no start until the last piece of information or asset has been uploaded.
4. Project Timeline
Standard Edit Turnaround Times
Per Project (One-Off)
5 Day Turnaround for Standard Edits from the time all project files, assets, and intake form are submitted. This is for delivery of the first draft.
Per Project (Ongoing)

Monthly Partnership
3–Day Turnaround for Standard Edits from the time all project files, assets, and intake form are submitted. Unlimited revisions with 24-48 hour turnaround. This is for delivery of the first draft.
Standard Edit Definition
A Standard Edit is defined as a simple video edit that fits within a 6 hour working time. Edits that have excessive RAW footage, final runtime length, motion graphics, asset sourcing, or anything else that prolongs the editing time.
*Standard Turnaround Times do not include Weekends or US Holiday's. Management Business hours are M-F 8am-5pm CST during Daylight Savings Time, and M-F 7am-4pm CST during Standard Time in the US, while Editors work varying shifts that may start or end earlier or later than Management working hours. For that reason, Same Day Edit Requests may not be able to be met, so please plan accordingly.
Expedited Delivery:
We will aim to complete projects sooner if possible, but early delivery should not be expected without prior agreement.
Same Day Edits (SDE):
Approval Process: Case-by-case basis depending on submission time and resource availability.
Limitations:Completion not guaranteed; revisions may not be possible.
Rate:$20/hr premium billed on top of your subscription.
Minimums:2-hour minimum for Reels, 3-hour minimum for other projects.
5. File Storage & Deletion Policy
Temporary Storage Period
All client files (raw footage, project files, and final exports) are typically stored until the project is marked complete.
After it is marked complete, files may be archived, offloaded, or deleted to manage storage costs.
Project-Based Clients
For project-based engagements, each project includes up to 500GB of storage. Usage exceeding this limit is billed at $10 per additional 100GB, measured across raw files. Files are retained for up to 48 hours after project approval; clients must download any assets they wish to keep within that timeframe. Revisions requested after the 48-hour window require the client to re-upload all necessary files and will be billed as a new project.

Extended Storage
If you’d like us to store files beyond the completion of a project (subscription-based), please notify us before the initial project ends. *Extended storage incurs a monthly fee of $100 per Terabyte per Month.
File Responsibility
It is the client’s responsibility to download and back up any files they wish to retain at the end of each project.
C3 Studios is not liable for files lost, accidentally deleted, or corrupted at any point during our relationship. It is the clients responsibility to keep and store backup files in their own file system.
Deletion Without Notice
Unless prior arrangements have been made, files may be deleted without further notice once a project is marked complete. This ensures we can allocate space and resources to active projects.
6. Payment Terms
Billing:
Payments are due upfront each month before work begins. All work performed (organizing, editing, revisions, communication, etc.) counts toward your monthly editing time.
Late Payments:
A $100/week late fee applies to overdue invoices beyond 5 days.Non-payment may result in project suspension.
7. Confidentiality
C3 Studios will treat all client materials and information as confidential. We will not share your materials or project details with third parties without your explicit consent. *All C3 Studios employees have signed NDA's.
8. Respectful Conduct & Right to Terminate
We are committed to delivering an exceptional level of service, and that includes maintaining a respectful, productive working environment for both our team and our clients.
We reserve the right to pause or terminate a project or subscription, without refund, if a client engages in:

Aggressive or demeaning communication

Excessive follow-ups that hinder project workflow

Disrespect toward our team members

Manipulative deadline pressure not aligned with actual delivery needs
Mutual respect is non-negotiable. If the working relationship becomes unproductive or harmful to our team, we will disengage without further obligation.
9. Non-Solicitation & Liquidated Damages.
During the term of this Agreement and for twenty-four (24) months thereafter, Client agrees not to solicit, hire, contact, or contract directly with any employee, contractor, or representative of C3 Studios who was involved in providing services under this Agreement.
If Client breaches this provision, Client shall pay C3 Studios liquidated damages equal to the equivalent of twelve (12) months of the individual’s projected annual revenue contribution to C3 Studios, which the parties agree is reasonably estimated at $60,000.
The parties acknowledge that actual damages would be difficult to ascertain and agree that this liquidated damages provision represents a fair and reasonable estimate of such damages, not a penalty.
10. Intellectual Property
Ownership:
Clients retain ownership of their raw footage and final deliverables upon full payment of all fees.
Licenses:
By using our services, with your permission, we may use video edits for promotional purposes to show editing capabilities. We will always respect yours, and your clients privacy, IP, and NDA's.
11. Limitation of Liability
C3 Studios is not liable for any damages, including but not limited to data loss, project delays due to unforeseen circumstances, or third-party usage of final deliverables outside our control.
12. Termination
Either party may terminate the agreement at any time with 14 days written notice. No refunds will be given, and you will be able to use our services until your current month is up. After your month is up, any and all assets used for your edits will be removed from our system, so please make sure you have everything you need prior to the end of our engagement. We welcome you to return at anytime after if work picks back up for you!
13. Governing Law
These Terms and Conditions are governed by the laws of Iowa. Any disputes will be resolved in the courts of Iowa.
14. Amendments
C3 Studios reserves the right to amend these Terms and Conditions at any time. Clients will be notified of any significant changes before they take effect.
15. Acceptance
By engaging our services, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
