Terms and Conditions

By engaging C3 Studios, LLC (“C3 Studios,” “C3,” “we,” “us,” or “our”), the client (“Client” or “you”) agrees to the following Terms & Conditions.
1. Service Overview
C3 Studios provides managed placement, sourcing, vetting, onboarding coordination, and ongoing support for remote talent, including but not limited to video editors and virtual assistants (“Talent”).
C3 Studios sources and assigns Talent based on the Client’s stated needs, role requirements, workflow, and business goals.
Unless otherwise agreed in writing, the Client is purchasing a managed staffing and support solution through C3 Studios. The Client is not the direct employer of Talent unless explicitly stated in a separate written agreement.
2. Scope of Services
Depending on the engagement, C3 Studios may provide some or all of the following services:

role scoping and hiring criteria refinement
-
candidate sourcing and screening
-
portfolio review and interviews
-
paid test projects or test edits
-
onboarding coordination
-
payroll administration and payment coordination
-
ongoing Talent support
-
performance monitoring and replacement coordination
C3 Studios will use reasonable efforts to match the Client with suitable Talent, but does not guarantee that every candidate presented will be selected by the Client or meet every subjective preference.
3. Placement and Matching Process
Once the Client has approved the role and paid the required upfront fees, C3 Studios will begin sourcing and matching.
Typical placement timelines are estimated at up to 2 weeks, but may vary depending on role complexity, niche skill requirements, responsiveness, and candidate availability.
C3 Studios may present:

Talent currently available for immediate placement, or
-
newly sourced Talent based on the Client’s specific needs
C3 Studios reserves the right to determine the sourcing, screening, and vetting process used for each role.
4. Placement Fee
A non-refundable placement fee of $1,500 per role is required before sourcing and matching begins, unless otherwise agreed in writing.
The placement fee covers:
-
sourcing
-
screening
-
interviews
-
paid test projects or test edits
-
candidate evaluation
-
final matching and placement coordination
Once sourcing, screening, or endorsement of candidates has begun, the placement fee is non-refundable.
The placement fee applies to one role and one placement process. If the Client materially changes the role, responsibilities, seniority, or qualifications after sourcing has begun, C3 Studios may require a new placement fee before continuing.
5. Monthly Fees and Billing
All monthly fees are billed in advance.
Monthly fees may include:
-
Talent compensation
-
C3 Studios management/support fees
-
other agreed service-related fees
Payment must be received before the applicable billing period begins unless otherwise agreed in writing.
Failure to pay on time may result in:
-
delay in sourcing or onboarding
-
suspension of services
-
temporary pause in the assigned Talent’s work
-
forfeiture of replacement eligibility during the period of non-payment
C3 Studios may withhold or pause work until the account is brought current.
6. Minimum Commitment
Once Talent has been placed, the Client agrees to an initial 3-month minimum commitment for that Talent, unless otherwise agreed in writing.
This minimum term is required so the Talent has adequate time to ramp, integrate into the Client’s workflow, and perform successfully.
If the Client chooses to end the engagement before the initial 3-month term is complete, all fees due through the remainder of that minimum term shall remain payable in full.
7. 30-Day Replacement Guarantee
C3 Studios offers one replacement for the placed Talent within the first 30 calendar days from the Talent’s start date, at no additional placement fee, provided that:

the Client has paid all invoices on time
-
the Client has provided timely and reasonable feedback
-
the Client has given the Talent appropriate access, direction, and communication
-
the issue is not primarily caused by role changes, unreasonable expectations, or lack of Client responsiveness
Replacement decisions are made by C3 Studios in good faith after reviewing the circumstances.
The 30-day replacement guarantee covers replacement only. It does not create a right to refund any placement fee, monthly fee, or other charges.
8. Replacements After 30 Days
After the first 30 days, C3 Studios may assist with replacement sourcing at its discretion.
Additional replacement, sourcing, or rematching fees may apply after the 30-day guarantee period, depending on the situation, including but not limited to:

voluntary Talent departure
-
major role changes
-
scope expansion
-
repeated replacement requests
-
Client-driven fit changes
9. Client Responsibilities
The Client agrees to:
-
provide clear role expectations and scope
-
provide timely direction, communication, and feedback
-
maintain a professional working environment
-
make decisions regarding candidates, feedback, and approvals in a timely manner
-
pay all invoices on time
-
supply necessary access, files, tools, systems, and brand/process information required for the Talent to perform effectively
The Client understands that Talent performance may be negatively impacted by unclear direction, delayed communication, insufficient onboarding, or incomplete systems and access.
10. Creative and Work Product Responsibility
For video editing and other creative roles, C3 Studios does not guarantee that all creative work will satisfy every subjective preference of the Client.
Creative judgment, final approvals, brand direction, and content decisions remain the responsibility of the Client.
C3 Studios is responsible for sourcing and supporting qualified Talent, but the Client is responsible for clearly communicating style, references, expectations, and revision standards.
11. Work Ownership and Intellectual Property
Upon full payment of all applicable fees, the Client shall own the final deliverables created specifically for the Client during the engagement, except for:
-
pre-existing materials owned by C3 Studios or Talent
-
third-party assets, software, plugins, templates, music, fonts, or licensed materials
-
internal evaluation materials or test projects unless otherwise agreed
The Client is responsible for ensuring it has the proper rights to all materials, footage, files, and content it provides.
12. Non-Circumvention and Direct Hire
The Client agrees not to directly or indirectly hire, solicit, contract with, or otherwise engage any Talent introduced, presented, or placed by C3 Studios outside of C3 Studios during the engagement term and for 12 months following the end of the engagement without C3 Studios’ prior written consent.
If the Client wishes to directly hire or otherwise engage such Talent outside of C3 Studios, the Client agrees to pay a buyout fee equal to 3 months of that Talent’s then-current monthly fee, due in full before any such transition occurs.
This provision is material to the business relationship and protects C3 Studios’ investment in sourcing, vetting, onboarding, and support.
13. Confidentiality
Both parties agree to keep confidential all non-public, proprietary, and sensitive information disclosed during the relationship, including but not limited to:
-
business operations
-
financial information
-
client data
-
workflows and systems
-
creative materials
-
pricing and staffing information
This obligation survives termination of the relationship.
14. Performance and Business Results Disclaimer
C3 Studios does not guarantee:
-
specific revenue results
-
client retention
-
business growth
-
a particular volume of output
-
subjective creative satisfaction beyond reasonable professional standards
C3 Studios’ obligation is to provide sourcing, placement, and support services in good faith and with reasonable care.
15. Termination
After the initial 3-month minimum term, either party may terminate the engagement with 14 days’ written notice.
Termination does not relieve the Client of responsibility for:
-
unpaid invoices
-
fees accrued prior to termination
-
any remaining amounts owed during the applicable minimum term
-
any applicable buyout or replacement-related fees
Placement fees remain non-refundable once sourcing has commenced.
C3 Studios reserves the right to suspend or terminate services immediately in the event of:
-
non-payment
-
abusive or inappropriate conduct
-
unlawful activity
-
repeated failure by the Client to provide necessary communication, access, or direction
16. Limitation of Liability
To the maximum extent permitted by law, C3 Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of business opportunity, or loss of data.
C3 Studios’ total liability arising out of or related to the engagement shall not exceed the total fees actually paid by the Client to C3 Studios during the 3 months preceding the event giving rise to the claim.
17. Independent Business Relationship
Nothing in this agreement creates a partnership, joint venture, or employer-employee relationship between the Client and C3 Studios.
C3 Studios retains the right to determine how it sources, supports, administers, and manages Talent under its service model, unless otherwise agreed in writing.
18. Modifications
C3 Studios may update these Terms & Conditions from time to time. Any material updates will apply prospectively and will be communicated to the Client in writing or through continued invoicing and service documentation.
19. Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Iowa, unless otherwise agreed in writing.
Any dispute arising out of or relating to these Terms & Conditions shall be resolved in the state or federal courts located in Iowa, and both parties consent to such jurisdiction and venue.
